Affiliate Program Terms

These Affiliate Program Terms (the "Terms") govern your participation in the Clippin Creator & Affiliate Program (the "Program"), operated by Clippin ("we", "us", "our"). By applying to, being accepted into, or participating in the Program, you ("you", "Affiliate") agree to these Terms, along with our Terms of Service and Privacy Policy. If you do not agree, do not participate.
1. Enrollment and eligibility
- You must apply and be approved. We may accept or decline any application, and may remove any Affiliate, at our discretion.
- You must be at least 18 years old (or the age of majority where you live) and able to enter a binding agreement.
- You are responsible for the accuracy of the information in your application and for keeping your account and payout details current.
- Program benefits are personal to you and may not be transferred or assigned without our written consent.
2. Referral tracking and attribution
On approval you receive a unique referral link and/or discount code. Qualifying sales are tracked by our third-party affiliate platform using cookies and/or the code entered at checkout. Attribution is subject to that platform's rules and the customer's browser settings — we cannot guarantee tracking where a customer blocks cookies, uses a different device or browser, clears cookies, or applies another Affiliate's link or code more recently. Where tracking conflicts, the most recent qualifying referral generally wins, as recorded by the platform. Our records and the platform's records are the final basis for calculating commissions.
3. Commission
- We pay commission on qualifying sales — a new customer's eligible purchase of a Clippin license that is correctly attributed to you, completed, and not refunded, reversed, or charged back.
- The commission rate is the rate shown on the Creator Program page or otherwise communicated to you in writing at the time of your acceptance. Launch or promotional rates apply only for the period we state and may change for future sales on notice.
- Commissions are calculated on the net sale amount actually received (excluding taxes, fees, shipping, and discounts) and do not apply to your own purchases, renewals or add-ons unless we state otherwise, or to orders we reasonably believe to be fraudulent or in breach of these Terms.
4. Payment
- Commissions accrue once a qualifying sale clears our refund and chargeback window. Amounts for orders that are later refunded, reversed, or charged back are deducted or clawed back from current or future commissions.
- We pay out earned commissions above a minimum threshold of $100, on an approximately monthly basis, via the method supported by our affiliate platform. Balances below the threshold roll over.
- You are solely responsible for all taxes on your commissions and for providing any tax information (e.g., a W-9 or W-8) reasonably required before we can pay you. Affiliates are independent contractors, not our employees, agents, partners, or joint venturers.
- We may withhold or cancel commissions connected to fraud, abuse, self-referral, or any breach of these Terms.
5. How you may promote Clippin
You agree to promote Clippin honestly and lawfully. You will:
- Clearly disclose your affiliate relationship wherever you share a link or code, as required by the FTC and applicable law (for example, "#ad" or "affiliate link").
- Describe Clippin accurately, using only claims that are true and that we have published or approved.
- Only promote to content you own or are permitted to repurpose, consistent with our Terms of Service.
You will not:
- Send spam or unsolicited bulk messages, or post to platforms in violation of their rules.
- Bid on "Clippin" or confusingly similar terms in paid search, or use our brand in ad copy, domains, usernames, or app names in a way that implies you are us.
- Make false, misleading, or unsupported claims (including about earnings, results, guarantees, prices, or discounts), or misrepresent the Program.
- Offer unauthorized rebates, cashback, or coupons, or list codes on coupon/deal aggregator sites without our written permission.
- Self-refer, "cookie stuff", incentivize fake clicks or sign-ups, or otherwise generate commissions through your own or coordinated purchases.
- Promote Clippin alongside illegal, infringing, hateful, sexually explicit, or otherwise objectionable content, or in a way that damages our reputation.
6. Free license for partners
Approved Affiliates may receive a complimentary Clippin license for their own use to create Program content. That license is provided under our Terms of Service, is non-transferable, and may be deactivated if you leave the Program or breach these Terms.
7. Intellectual property and brand use
We grant you a limited, revocable, non-exclusive, non-transferable license to use the Clippin name and marketing materials we provide, solely to promote Clippin under these Terms. All goodwill from that use belongs to us. You may not modify our logo or materials or use them in any other way without our consent. You keep ownership of your own content, and you grant us a non-exclusive license to reshare or reference your Program content and handle for marketing.
8. Term and termination
Either party may end this arrangement at any time, for any reason, with or without notice. On termination your referral links and codes are deactivated and you must stop presenting yourself as a Clippin Affiliate. We will pay commissions properly earned before termination, except where terminated for fraud or breach, in which case unpaid and clawed-back amounts may be forfeited. Sections that by their nature should survive (including payment reconciliation, IP, disclaimers, limitation of liability, and indemnity) survive termination.
9. Disclaimer and limitation of liability
The Program is provided "as is" and "as available," without warranties of any kind. We do not guarantee any level of traffic, sales, or earnings. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or earnings, arising from or related to the Program. Our total liability for any claim relating to the Program will not exceed the total commissions we paid you in the three (3) months before the event giving rise to the claim.
10. Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your promotional activities, your content, your use of our marks, or your breach of these Terms, applicable law, or any platform's rules.
11. Changes to the Program or these Terms
We may modify, suspend, or discontinue the Program, or update these Terms, at any time. Changes take effect when posted here (or otherwise communicated). Your continued participation after changes take effect constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of Oregon, without regard to conflict-of-laws rules. Any disputes will be resolved in the courts located there.
